Terms of Service

Last updated September 16, 2026. This is a beta-stage agreement — read section 1 and section 13 first.

1. Beta service

Countmill is currently offered as a beta product. Features, pricing, and availability may change, and the service is provided without the uptime or support commitments of a generally-available product until a signed order form or master services agreement says otherwise. If you and Countmill sign a separate agreement (an order form, MSA, or pilot agreement), that document controls wherever it conflicts with these Terms.

2. Who these Terms apply to

These Terms apply to any individual or company ("you", "your") that creates an account, is invited into an account, or otherwise accesses Countmill. By using the service you agree to these Terms on behalf of yourself and, if you're using it for a company, on behalf of that company, which you confirm you have authority to bind.

3. Accounts

You're responsible for the accuracy of the information you provide when setting up a parent org and its businesses, and for keeping your login credentials confidential. Tell us promptly if you believe an account or credential has been compromised.

Access within an account is controlled by the roles and permissions your account administrators configure. You're responsible for who your administrators grant access to.

4. Fees & billing

Countmill is priced per business entity, not per seat. During the beta period, pricing and billing cadence for your account are the terms confirmed with you directly (by email or on a call) rather than a published rate card — those confirmed terms are binding once you accept them in writing.

Fees are due as agreed in your order confirmation. We'll give reasonable notice before any change to your pricing takes effect on renewal.

5. Your data

You own the data you and your users put into Countmill — customer records, ledger entries, tickets, inventory, HR records, and everything else your businesses store in the product ("Customer Data"). We don't claim ownership of it.

You grant us a limited license to host, process, and transmit Customer Data solely to provide, maintain, and support the service to you — and, if you separately opt in, to improve the product. We don't sell Customer Data, and we don't use it to train models for anyone outside your account without your written consent.

You can export Customer Data at any time as CSV from any module, or programmatically through the brand-scoped API. See the Privacy Policy and the Enterprise page for how access and exports are scoped per business.

6. Acceptable use

You agree not to: use Countmill to break the law or infringe someone else's rights; attempt to access another customer's account or data; probe, scan, or attempt to defeat the service's access controls or rate limits without our written permission; resell or sublicense the service without an agreement that allows it; or upload malicious code.

7. Third-party integrations

Countmill may connect to third-party services you choose to integrate (for example, banks for reconciliation, or payment processors). Those services have their own terms and privacy practices, which we don't control. Connecting them is your decision, and you're responsible for reviewing their terms before you do.

8. Intellectual property

Countmill, including its software, design, and underlying technology, is owned by us and our licensors. These Terms don't grant you any rights to our intellectual property beyond what's needed to use the service as intended.

9. Confidentiality

Each party will protect the other's confidential information with the same care it uses for its own confidential information of similar importance, and will use it only to perform under these Terms.

10. Disclaimer & limitation of liability

THE SERVICE IS PROVIDED "AS IS" DURING THE BETA PERIOD, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, AND EACH PARTY'S TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

This limitation doesn't apply to a party's confidentiality obligations, indemnification obligations, or liability that can't be limited by law.

11. Term & termination

You can stop using the service at any time. We may suspend or terminate an account for a material breach of these Terms that isn't cured within a reasonable period after notice, or immediately if continued access would create a security or legal risk.

On termination, you can export your Customer Data for a reasonable period before it's deleted from our systems, consistent with the Privacy Policy.

12. Changes to these Terms

We may update these Terms as the product moves out of beta. We'll post the updated Terms here with a new "last updated" date, and for material changes we'll make a reasonable effort to notify account administrators directly.

13. Governing law & entity

Countmill is currently operated pre-incorporation by its founding team. The legal entity, its jurisdiction of formation, and the governing law for these Terms will be named here once formal incorporation is complete — before any customer is asked to sign a binding order form. If you're evaluating Countmill for production use, ask us directly for the current status of this before you commit.
